More than 1.4 billion votes were cast against the compensation proposal, with 307.7 million in favor. The proposal was advisory and non-binding. Executives can still earn payments if the deal closes. In contrast, over 1.7 billion votes supported the Paramount merger, with about 16.3 million against. Zaslav has led WBD since 2022 and oversaw the acquisition of Warner Media. A Paramount spokesperson stated that shareholder approval is a milestone towards completing the acquisition, which is expected to close in the third quarter pending regulatory approvals.
