ISS recommended a vote against ratifying CEO Elon Musk's $56bn pay package at Tesla, citing excessive compensation and a potential distraction from Musk's leadership.
The proxy advisory firm also recommended voting against Tesla director James Murdoch, but supported votes for Kimbal Musk and the company's proposed move to change its incorporation state to Texas.
